# Act on the control of certain investments

## In brief

Two regimes: control of acquisitions in entities on the Council of Ministers’ list and control of acquisitions by non-EU/EEA investors in protected entities (Arts 12a–12k), inter alia public companies.

## Key obligations

- Prior notification of an intention to acquire a significant participation in or control of an entity on the Council of Ministers’ list (Art. 1(1), Art. 3(1)(5))
- Non-EU/EEA investor: prior notification of the acquisition of ≥ 20% of votes or control of a protected entity (Art. 12c(1), Art. 12e, Art. 12f(1))
- Protected entities include, inter alia, public companies, extraction and processing of metal ores for defence purposes and production of rhenium (Art. 12d(1), (3)(14)–(15))
- Threshold: revenue in PL > EUR 10 million in one of the two financial years preceding the notification (Art. 12d(4))

## Competent authority

Minister responsible for state assets, Ministry of National Defence (MON), minister responsible for maritime economy (Art. 3(1)(6)); for Arts 12a–12k – minister responsible for the economy

## Penalties

Art. 15(1) – fine of up to PLN 100 million or imprisonment from 6 months to 5 years; Art. 16a(1) – fine of up to PLN 50 million or imprisonment from 6 months to 5 years.

01.10.2015

2015-10-01; Arts 12a–12k – from 24.07.2025 the authority is the minister responsible for the economy

## Key dates

- 24.07.2025: Entry into force of the Act of 9.07.2025 (Dz.U. 2025 poz. 973) – change of the control authority from the President of the Office of Competition and Consumer Protection (UOKiK) to the minister responsible for the economy
- 15.01.2026: Publication of the consolidated text (Dz.U. 2026 poz. 47)
- 17.01.2028: Application of Regulation (EU) 2026/1386 – need to align the Act
