## In brief

Prior notification to the Commission of concentrations and of tenders in large public procurement procedures by undertakings receiving financial contributions from third countries.

## Key obligations

- Notification of a concentration where an undertaking established in the EU has EU turnover ≥ EUR 500 million and financial contributions from third countries > EUR 50 million over 3 years (Art. 20(3), Art. 21)
- Notification of financial contributions in a public procurement procedure with a value of ≥ EUR 250 million where contributions are ≥ EUR 4 million per third country (Art. 28(1), Art. 29)
- Prohibition on implementing a notified concentration before the Commission’s decision or the expiry of the deadline (Art. 24)

## Penalties

Fine of up to 10% of aggregate turnover for failure to notify or circumvention (Art. 26(3), Art. 33(3)); up to 1% for incorrect information (Art. 26(2), Art. 33(2)).
