# Foreign investment screening – new Regulation 2026/1386

## In brief

Mandatory national screening mechanism with a requirement of prior authorisation, inter alia for investments in undertakings extracting, processing or recovering CRMA strategic raw materials.

## Key obligations

- Prior authorisation for a foreign investment in an undertaking engaged in the extraction, processing, recycling or recovery of CRMA strategic raw materials (Art. 4(15)(e))
- Prior authorisation also for undertakings producing dual-use items listed in Annex I to Regulation 2021/821 (Art. 4(15)(a))
- Notification of an investment subject to prior authorisation and its screening before completion (Art. 4(9))
- Ex officio review of investments not subject to authorisation – at least 15 months, max. 5 years after completion (Art. 4(4))

## Competent authority

Screening authority designated in national law (currently in PL – the control authorities under the Act of 24.07.2015)

## Penalties

Member States ensure effective, proportionate and dissuasive penalties for failure to notify or non-compliance with mitigating measures (Art. 4(11)).

16.07.2026

## Application

2028-01-17 (Art. 3(2), Art. 15(2), Art. 18(1)–(6) and (9)–(12), Arts 27–29 – from 16.07.2026)

## Pending changes

Alignment of the Act of 24.07.2015 on the control of certain investments with Regulation 2026/1386 – no bill in the Sejm (as at 22.10.2026).
